These Terms of Sale apply to any order placed by a customer (the Customer) with NUDGETASK SAS on the NudgeTask platform.
These Terms of Sale define the contractual conditions applicable to subscriptions and the purchase of services, including AI credits and templates, on the Platform.
Clicking to confirm an order constitutes the Customer’s full acceptance of these Terms of Sale.
Monthly or annual subscriptions provide access to platform features according to the selected plan: Starter, Pro, Max or Enterprise.
Add-ons and credits (Nudgy Power) provide additional AI credits or specific templates.
The Publisher reserves the right to change its offers at any time. Services are billed at the prices in effect when the order or renewal is confirmed.
Prices are stated in euros excluding tax. VAT at the applicable rate is added at payment according to the Customer’s location.
Payment is made by bank card through a secure payment provider, such as Stripe. The Customer warrants that they have the necessary authorization to use this payment method.
Invoices are issued electronically and can be accessed directly in the Billing section of the Customer’s Workspace.
Monthly subscriptions run for one month and renew automatically each month on the anniversary date.
Annual subscriptions run for twelve months and renew automatically each year.
The Customer may cancel their subscription at any time from their personal space. Cancellation takes effect at the end of the current billing period. No pro-rata refund is provided.
In accordance with Article L221-28 of the French Consumer Code:
For consumers (B2C), the 14-day right of withdrawal cannot be exercised for digital services whose performance began after the consumer’s prior express consent and express waiver of that right.
For business customers (B2B), the right of withdrawal does not apply, except in the very specific circumstances provided by law, including businesses with fewer than five employees for matters outside their main business activity.
AI credits purchased or included in a subscription are non-refundable.
They expire at the end of each monthly period and do not accumulate, unless otherwise specifically stated for a one-off credit pack offer.
Failure to pay by the due date results in immediate suspension of access to paid services and AI features.
Late-payment penalties apply at three times the statutory interest rate. Business customers also owe a fixed recovery-cost payment of €40.
NUDGETASK undertakes to exercise all necessary care in providing the service. However, it cannot be held liable for internet or third-party service interruptions, including OpenAI, Stripe or Hetzner; use of the service by the Customer in breach of the Terms of Service; or force majeure as defined by French case law.

These Terms of Sale are governed by French law.
If an attempt at amicable resolution is unsuccessful, exclusive jurisdiction is assigned to the Commercial Court of Nanterre, including for interim proceedings or where there are multiple defendants.
